Do all dematerialised securities need to be registered in the Central Register?

Pursuant to Act 256/2004 Coll., on trading on the capital market, all Czech dematerialised securities must be recorded in the Central Register, which will be taken over by Centrální depozitář cenných papírů, a.s. from the Czech Securities Centre.


An issue only has a SIN code (without CZ or CS at the beginning) - is it necessary to apply for the assignment of an ISIN code?

An issue with only a SIN code issued (without CZ or CS at the beginning as part of a 12-digit code) needs to have an ISIN code assigned. For this reason, it is necessary to apply for an ISIN code when signing an Agreement on Issue Registration with the Central Depository, and send the completed form together with the Agreement to our address.


Will it also be possible to register and record certificated securities in the Central Depository?

Certificated securities are not part of our Central Register of securities; however the Central Depository also arranges for the settlement of trades involving certificated securities, which it accepts for custody from Central Depository participants. The method of the registration of certificated securities is specified in the Rules for Keeping an Independent Register available in the “Settlement” section of the Central Depository’s website.


Is it necessary to sign the agreement if our company transferred dematerialised securities to certificated ones?

If the securities have been transferred from dematerialised to certificated, it is not necessary to enter into the Agreement on Issue Registration with the Central Depository.


Where can I find the Form of application for assignment, change or cancellation of the ISIN code? Is it possible to obtain the form in format other than .pdf, for the purpose of electronic filing?

The Form of application for assignment, change or cancellation of ISIN code is available from our website at www.centralnidepozitar.cz. The form will also soon be available in the .pdf format (Acrobat Reader 9 and higher) for electronic filling.


Dematerialised securities have an ISIN code assigned by the Czech Securities Centre. Is it necessary to ask the Central Depository for a new ISIN code in connection with the transfer of the records from the Czech Securities Centre to the Central Depository?

The Central Depository is obliged to assign ISIN to each issue of investment instruments included in its records and for which no ISIN has been assigned yet. Issues which have already been assigned ISIN will not be given ISIN by the Central Depository.

By when is the issuer obliged to enter into the agreement?

Pursuant to Art. 202 of Act 256/2004 Coll., on trading on the capital market, issuers are obliged to sign an Agreement on Issue Registration within one month of the commencement of the Central Depository’s activities. The activities are planned to commence in July 2010.


When will the agreement be entered into?

Following the date on which the Central Depository commences its activities, a period of one month will commence during which it will be necessary to enter into the agreement by force of law. Before the Central Depository commences its activities, we will contact your company again, inform you about the date of the commencement of the Central Depository’s activities and ask you to sign the Agreement on Issue Registration. The same information will also be published on this website.


Will the Central Register of the Central Depository replace the records of the Czech Securities Centre? Will our company need to sign an agreement with both the Central Depository and the Czech Securities Centre?

When the Central Depository commences its activities, the Czech Securities Centre will stop its operations. Issuers of securities will have just one agreement - with the Czech Securities Centre until the Central Depository commences its activities. Then it will be necessary to enter into an agreement with the Central Depository.
